Numar Terms of Service

These Terms of Service ("Terms") govern your use of the Numar website (numar.ai), the update service (updates.numar.ai), the license/subscription service, and related online services (together, the "Services"), provided by the individual developer operating Numar ("Numar", "we"). By using the Services, you agree to these Terms.

1. Eligibility & accounts

You must be able to form a binding contract. The Numar desktop app does not require a Numar account to use. Pro subscriptions are managed through our payment processor Polar; any account is held with Polar, and you are responsible for keeping your license key and login secure.

2. Subscriptions, payment, and renewal

  • Pro subscriptions are sold and processed by Polar as merchant of record. Prices, currencies, taxes, billing cycles, and payment methods are presented at checkout.
  • Subscriptions auto-renew until cancelled. You may cancel at any time through Polar's customer portal, with effect at the end of the current billing period unless stated otherwise.
  • Your statutory withdrawal/refund rights (where applicable, e.g. the EU/UK 14-day cooling-off period for distance contracts) apply. Beyond those mandatory rights, fees are generally non-refundable; contact evenzhi@gmail.com or Polar support for billing disputes.

3. License keys & activation

A subscription grants a license key that activates the Software on a limited number of devices. Sharing keys beyond your permitted activations, or circumventing activation/validation, is a breach of these Terms and may result in suspension.

4. The update & config services

We provide update and remote-configuration services so the app can stay current. We may modify, throttle, stage (gradual rollout), or pause these services, and may issue a "kill switch" to stop distribution of a defective build. We aim for, but do not guarantee, continuous availability.

5. Acceptable use

You agree not to: (a) disrupt or attack the Services; (b) reverse-engineer the Services except as permitted by law; (c) use the Services to infringe others' rights or break the law; (d) misrepresent your identity or license status.

6. Third-party services

The Services interoperate with third parties — your AI providers (BYOK), Polar (payments), and open-source extension registries (e.g. Open VSX). Your use of those is governed by their terms and privacy policies. We are not responsible for third-party services, extensions, or AI provider output.

7. Intellectual property

The Services, the Numar name and logo, and the Numar Components are owned by us or our licensors. These Terms grant you no rights in our trademarks. Open-source components remain under their own licenses.

8. Service availability & changes

The Services are provided "as is" and "as available". We may add, change, or discontinue features, and may suspend or terminate access for breach. We will give reasonable notice of material adverse changes where practicable.

You will indemnify us against claims arising from your unlawful use of the Services or breach of these Terms, to the extent permitted by law.

11. Dispute resolution & governing law

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in the EEA, UK, or Switzerland, you may also bring claims in your country of residence where mandatory consumer-protection laws require. Nothing in these Terms limits rights that cannot be waived under applicable consumer law.

12. Changes to these Terms

We may update these Terms; we will post the new version with a revised date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.
